Bajaj Consumer Care expands portfolio with acquisition of Vishal Personal Care

Mumbai: Bajaj Consumer Care Limited (BCCL) has announced the acquisition of Vishal Personal Care, the owner of the renowned hair and skin care brand Banjara’s. The acquisition, valued at INR 120 crore, was confirmed following a board meeting on February 14, 2025, and aligns with Bajaj Consumer Care’s strategy to strengthen its presence in the growing natural and Ayurvedic personal care segment.

Under the terms of the deal, Bajaj Consumer Care will acquire a 100% stake in Vishal Personal Care in two phases. The initial acquisition of 49% will be followed by the remaining 51%, with an enterprise value of INR 108.3 crore.

Founded in 1991 in Hyderabad, Banjara’s has built a solid reputation for offering high-quality, natural hair and skin care products. The brand is known for its wide range of products, including facial kits, herbal powders, aloe vera gels, shampoos, and hair care powders. Banjara’s products are available in over 70,000 outlets across South India, including cosmetics stores, supermarkets, pharmacies, and grocery chains.

The acquisition significantly strengthens Bajaj Consumer Care’s position in South India, where Vishal Personal Care has a well-established distribution network. This acquisition also opens the door for Banjara’s products to be introduced in Bajaj’s stronghold Hindi-speaking markets (HSM), effectively doubling its reach across both regions.

Bajaj Consumer Care sees potential in leveraging Banjara’s established retail presence and tapping into the growing demand for natural and Ayurvedic personal care products. With a strong focus on financial growth, Banjara’s has maintained a four-year compound annual growth rate (CAGR) of 14% and annual revenue exceeding INR 50 crore. The company operates debt-free with positive cash flow and high single-digit EBITDA margins.

Both Bajaj Consumer Care and Vishal Personal Care share a deep-rooted connection to Indian traditions, further strengthening consumer trust in their products. This acquisition reflects Bajaj Consumer Care’s ongoing commitment to expanding its product portfolio and its presence in the rapidly growing natural personal care market.

Jaideep Nandi, Managing Director of Bajaj Consumer Care, commented on the acquisition, “Acquisition of Vishal Personal Care Pvt. Ltd. is a strategic step in strengthening Bajaj Consumer Care’s footprint in the five southern markets. The addition of Banjara’s to our portfolio enhances our ability to serve the evolving consumers across India, while also complementing our product range for further expansion.”

The acquisition of Banjara’s strengthens Bajaj Consumer Care’s position in the fast-evolving personal care market, with plans to capitalize on global trends toward natural beauty products. As part of its growth strategy, BCCL will also increase its presence in modern trade and international markets, ensuring further brand recognition and distribution.

This acquisition underscores Bajaj Consumer Care’s vision for continuous innovation, growth, and market leadership in India’s competitive personal care industry.
