Nielsen has entered into an agreement to acquire media measurement and verification company DoubleVerify in an all-cash transaction valued at approximately US$2.15 billion, a move that significantly expands its digital advertising capabilities and strengthens its position across the media measurement ecosystem.
The acquisition brings together Nielsen’s audience measurement and cross-platform analytics expertise with DoubleVerify’s strengths in media verification, viewability, brand suitability and fraud detection. The combined offering is aimed at providing advertisers with a unified platform that spans media planning, campaign verification, audience measurement and outcome attribution.
By integrating the two businesses, Nielsen expects to reduce the complexity advertisers face in reconciling data from multiple measurement providers while enabling a more seamless approach to campaign optimisation across linear television, connected TV, digital video, social media, mobile platforms and emerging AI-powered advertising environments.
The company said DoubleVerify’s established verification services—including invalid traffic detection, brand safety, viewability measurement and media quality tools—will continue to operate as independent standards trusted by advertisers worldwide.
The acquisition also reflects the growing influence of artificial intelligence in advertising. Nielsen believes combining its audience intelligence with DoubleVerify’s verification infrastructure will enable brands and agencies to adopt AI-driven planning and optimisation tools with greater confidence by providing trusted, independently validated data.
Karthik Rao, Chief Executive Officer, Nielsen, said, “Over the last few years, Nielsen has undergone a fundamental transformation—accelerating product innovation, expanding our platform across the full media lifecycle, from discovery and planning through measurement and outcomes, and strengthening our financial foundation. The result is a stronger, more agile Nielsen that has earned its place as a leading media intelligence platform for the modern advertising ecosystem.
By bringing together Nielsen’s trusted audience measurement with DoubleVerify’s industry-leading media verification capabilities, we are creating a comprehensive platform that delivers independent, end-to-end intelligence across the advertising value chain. As media buying becomes increasingly automated and AI-powered, advertisers, agencies, publishers and platforms need transparent, trusted measurement more than ever, and this acquisition positions us to meet that need.”
Mark Zagorski, Chief Executive Officer, DoubleVerify, said, “The announcement is an exciting milestone for DoubleVerify. As a private entity with the support of Nielsen, we will have access to expanded resources to deliver new, market-leading solutions that drive exceptional value for our customers and partners.
DoubleVerify’s MRC-accredited quality signals, combined with Nielsen’s deduplicated cross-screen audience measurement, have the potential to create genuine market innovation by introducing a single currency that evaluates both audience delivery and media environment quality. I’m proud of the momentum we’ve built as a leader in media effectiveness and AI-powered measurement, and I’m excited about what this combination means for our customers, partners and employees.”
R. Davis Noell, Chairperson, DoubleVerify Board, added, “This transaction brings together two highly complementary businesses with a shared commitment to independent measurement and transparency. It builds on DoubleVerify’s leadership in AI-powered media quality while creating new opportunities for innovation, customer value and long-term growth under Nielsen’s ownership.”
The transaction comes amid increasing consolidation across the advertising technology and artificial intelligence sectors, as companies seek to broaden their capabilities through strategic acquisitions and deliver integrated solutions to marketers navigating an increasingly fragmented digital media landscape.
